The chairperson of the Board shall be entitled to preside at every meeting of the institutional shareholders, but shall not be entitled to a vote at any such meeting unless he or she is an institutional shareholder. In the event of the chairperson of the Board not being present within 10 (ten) minutes after the time appointed for the holding of such meeting, the shareholders shall choose one of their number to act as chairperson.
