THIS DEED is made between:

(‘The ASSIGNOR")
and

("the ASSIGNEE")
WHEREAS:
The ASSIGNOR is the proprietor of the trade marks contained in annexure "A" (the "trade marks") and which are either registered as trade marks or the subject of applications for registration as trade marks; and
The ASSIGNOR and the ASSIGNEE have agreed that the trade marks should be transferred to the ASSIGNEE.
IT IS AGREED THAT:
| (1) | The ASSIGNOR and the ASSIGNEE full and beneficial ownership in the trade marks with effect from |
| (2) | It is understood and agreed between the parties that the assignment includes assignment by the ASSIGNOR to the ASSIGNEE of the goodwill of the ASSIGNOR in its business concerned with the goods and services of the kind covered by the applications for registration as trade marks and/or for which the trade marks are registered. |
| (3) | The ASSIGNEE accepts the assignment of the trade marks, subject to the terms of this deed. |
