Meetings of the Company

188. Representation of company or other body corporate at meetings of companies and meetings of creditors

 

 

1) A company or other body corporate may, by resolution of its directors or other governing body, authorise any person to act as its representative at any meeting of any company of which it is a member or at any meeting of any class of members of that company.

 

2) The provisions of subsection (1) shall mutatis mutandis apply with reference to meetings of debenture-holders and creditors of a company

 

3) A person authorised as aforesaid shall be entitled to exercise on behalf of the company or other body corporate which he represents, the same powers as that company or body corporate could have exercised if it were an individual shareholder, debenture holder or creditor of the company in relation to which such person has been authorised to act.
