Brought to you by SA Accounting Academy: The Companies and Intellectual Property Commission (CIPC) has updated its director amendment system, introducing mandatory majority-board authentication to prevent fraudulent filings.

In terms of the Companies Act, No. 71 of 2008, the CIPC has commenced a phased overhaul of the electronic director amendment filing mechanism. Released on 16 October 2026, the updated procedure introduces enhanced Information and Communications Technology (ICT) security measures aimed at ensuring the CIPC register accurately mirrors each company’s internal records.

The initial phase of the rollout applies specifically to small companies where the directors and shareholders are the same individuals. The updated procedure establishes strict procedural thresholds for filing changes to directorships:

  • A majority of the existing board of directors must actively confirm each newly appointed director via a one-time password (OTP) verification mechanism.
  • All required board confirmations must be completed within the stipulated timeframe; failure to meet the deadline results in the automatic termination of the amendment application.
  • The filing system user interface has been revised to incorporate these verification steps before record updates are approved.

The Commission reiterated that under section 214(1)(b) of the Companies Act, No. 71 of 2008, it is an offence to knowingly provide false or misleading information to the Commission for fraudulent purposes.

What this means for you, your business, or your clients

  • For yourself: Verify that your personal contact details registered with the CIPC are up to date so that OTP verification requests can be received and processed before the transaction expires.
  • For your business: Revise company secretarial workflows to ensure board members are alerted and available to approve OTP requests simultaneously before submitting director amendment filings.
  • For your clients: Advise small company owner-directors that unilateral director appointments are blocked, requiring majority board co-ordination, and reconcile official CIPC records against client statutory registers to identify unauthorized discrepancies.
