CIPC: Obligation to Maintain Accurate Registered Office and Physical Address

Brought to you by SA Accounting Academy: The Companies and Intellectual Property Commission (CIPC) has issued a regulatory notice directing all registered companies to review and update their registered office and physical addresses on the national register.

In terms of section 23(3) of the Companies Act, No. 71 of 2008, every company must continuously maintain at least one office in South Africa and file a notice with the Commission to register or amend the address of that office. The CIPC highlighted an increasing volume of public complaints regarding entities that have relocated operations without filing address amendments with the Commission.

Failure to maintain updated address records results in legal notices, summonses, compliance directives, and regulatory correspondence being served at obsolete locations. This creates operational and legal prejudice for subsequent occupants who have no relationship with the entity, while depriving the non-compliant entity of proper notice.

The CIPC confirmed that legal responsibility for maintaining accurate corporate records rests with company directors and prescribed officers. In addition, landlords and property occupants who receive misdirected official or legal documents intended for a previous tenant may notify the CIPC with supporting evidence to initiate regulatory follow-up.
