CIPC Launches Real-Time Beneficial Ownership Module for Law Enforcement [df291c]

Brought to you by SA Accounting Academy: The Companies and Intellectual Property Commission (CIPC) has launched a dedicated Beneficial Ownership Disclosure Module granting accredited law enforcement agencies real-time access to corporate ownership records.

In terms of the Companies Act, No. 71 of 2008, as amended by the General Laws (Anti-Money Laundering and Combating Terrorism Financing) Amendment Act, No. 22 of 2022, all companies and close corporations are mandated to file and maintain accurate beneficial ownership records with the CIPC. The newly launched inter-agency disclosure module operationalises this data for enforcement purposes, enabling investigators to cross-reference ownership structures across the entire CIPC database.

The system upgrade provides law enforcement officials with 24-hour real-time access to corporate records and primary source documentation without prior notice or administrative delay. Specifically, the module facilitates:

  • Cross-entity linkage tracing for any director or beneficial owner across all active and inactive corporate registrations;
  • Direct inspection and immediate download of filed verification and identification source documents; and
  • Immediate cross-referencing between entities under criminal or financial investigation and related corporate vehicles across the broader CIPC repository.

The operational expansion forms part of South Africa’s remedial measures to satisfy Financial Action Task Force (FATF) standards ahead of the next Mutual Evaluation cycle, for which an effectiveness report must be submitted by 19 October 2026.

Since the statutory register commenced on 1 April 2023, the CIPC has recorded more than three million beneficial ownership filings covering domestic and foreign natural persons. Enforcement activities under these provisions have to date resulted in over 618 completed investigations and the issuance of more than 350 compliance notices against non-compliant entities or those submitting fraudulent supporting documentation.
