| (1) | The founding documents of a Special Economic Zone Board must provide for the following matters: |
| (a) | Board role and responsibilities; |
| (b) | Board membership and term; |
| (c) | Chairperson of Board; |
| (d) | Board committees; |
| (e) | Board meetings; |
| (f) | Board performance; |
| (g) | conflict of interest; and |
| (h) | review of founding documents. |
| (2) | The Code of Conduct shall regulate the following matters: |
| (a) | purpose; |
| (b) | obligation to comply with Code of Conduct; |
| (c) | compliance with laws and policies; |
| (d) | conflict of interest; |
| (e) | care and diligence |
| (f) | confidentiality; |
| (g) | reporting unlawful and unethical conduct; and |
| (h) | review of Code of Conduct. |
