When the board or any committee considers any matter in which a member thereof or the spouse of a member has a pecuniary interest, that member shall disclose the nature, extent and particulars of that interest to the board or committee, as the case may he, and if such interest is a direct financial interest, such member shall not take part in the discussions of the board or the committee concerned which take place while that matter is being considered by the board or the committee.
