| (1) | The board may establish such committees, consisting of directors, as it considers necessary. |
| (2) | The board must determine the functions of the committees and the procedure to be followed when the chairpersons of the committees are elected. |
| (3) | Any person with expert knowledge of a function of a committee may be co-opted by such committee on such terms as the board may determine. |
